JAXIS TERMS OF SERVICE

Effective date: July 25, 2026

These Terms of Service ("Terms") are a legal agreement between you and [INSERT LEGAL SELLER NAME], doing business as Jaxis and/or Jamisco Labs ("Jaxis," "we," "us," or "our"). These Terms govern your access to and use of our website, online store, customer support, Jaxis hardware, Jaxis software, documentation, updates, and related services (collectively, the "Services").

Our online store is hosted by Shopify. Shopify provides the ecommerce platform, but products purchased from our store are sold by Jaxis, not Shopify.

By placing an order, downloading or installing Jaxis software, or using a Jaxis product or other Service, you agree to these Terms and the policies incorporated into them. If you do not agree, do not place an order, install the software, or use the product.

Nothing in these Terms excludes or limits a right or remedy that applicable law does not permit us to exclude or limit.

1. ELIGIBILITY AND ACCOUNTS

You must be legally capable of entering into a binding contract to place an order or use the Services. If you permit a minor to use a Jaxis product, you are responsible for supervising that use.

You agree to provide accurate, current, and complete order and account information. You are responsible for protecting your account credentials and for activity conducted through your account. You may not sell or transfer your store account.

2. JAXIS PRODUCTS

Jaxis is a head-tracking device that converts detected head movement into input for supported games, simulators, and other compatible software.

Product photographs, videos, demonstrations, specifications, dimensions, frame-rate descriptions, and other store content are provided to describe the product as accurately as reasonably possible. Minor variations may occur between production batches, and colors or appearance may vary depending on lighting, display settings, and manufacturing tolerances. We may make changes that do not materially reduce the product's advertised function.

Performance depends on factors outside our control, including your computer, operating system, USB hardware, lighting conditions, physical setup, calibration, software configuration, game or application, third-party software, and updates made by third parties. A camera's stated capture rate is not a promise that every computer, application, or configuration will produce the same end-to-end update rate or latency.

Unless we expressly state otherwise in writing, we do not promise compatibility with every computer, operating system, game, simulator, application, display, accessory, or third-party program. Compatibility lists and setup guidance describe tested or expected compatibility as of the date published and may change when third parties update their products.

We may change or discontinue products, configurations, accessories, features, or offers at any time. Changes will not alter an already accepted order except as permitted by these Terms or applicable law.

3. ORDERS, PREORDERS, AND ACCEPTANCE

Submitting an order is an offer to purchase. An automated order confirmation only confirms that we received your order; it does not necessarily mean that we accepted it. We may accept, reject, or cancel an order for legitimate reasons, including product unavailability, suspected fraud, payment problems, pricing or listing errors, shipping restrictions, or quantity limits. If we cancel an order after payment, we will refund the amount charged for the cancelled portion.

Please review your order before submitting it. We may be unable to change or cancel an order after processing or shipment begins.

A product identified as a preorder, backorder, or limited early-production item may not be ready to ship when purchased. Any shipment date is an estimate unless expressly stated as guaranteed. If we cannot ship within the promised period, we will provide the cancellation, delay-consent, or refund options required by applicable law.

Products are sold for lawful end use. You may not purchase products through our consumer store for unauthorized resale, unlawful export, or circumvention of quantity restrictions.

4. PRICES, PAYMENT, TAXES, AND IMPORT CHARGES

Prices, discounts, introductory offers, and promotions may change without notice. The price for an accepted order is the price shown at checkout, subject to correction of an obvious error as permitted by law.

Unless stated otherwise, prices do not include shipping, sales or use tax, customs duties, brokerage fees, VAT, or other governmental charges. You are responsible for charges imposed on an international shipment unless we state that they are included or applicable law requires otherwise.

You represent that you are authorized to use the payment method submitted with your order. Payment information is processed by Shopify and payment providers under their applicable terms and privacy notices.

5. SHIPPING, DELIVERY, AND RISK OF LOSS

Delivery dates are estimates unless expressly stated as guaranteed. We are not responsible for delays caused by carriers, customs, incorrect customer information, severe weather, labor disruptions, governmental action, or other circumstances outside our reasonable control. This does not affect any cancellation or refund right provided by law.

You are responsible for providing a complete and accurate delivery address and for promptly responding to carrier or customs requests. Additional costs caused by an incorrect address, refused delivery, or unclaimed package may be deducted from a refund to the extent permitted by law.

Title and risk of loss transfer at the time required by applicable law. Nothing in these Terms shifts to you the risk of loss for a package that has not been delivered when applicable law places that risk on us.

6. RETURNS AND REFUNDS

Returns and refunds are governed by our Return and Refund Policy [INSERT LINK], which is incorporated into these Terms.

Our voluntary policy generally allows you to request a return within 14 days after delivery and to reasonably assemble, install, calibrate, and test the product during that period. Eligibility conditions, return instructions, shipping responsibility, inspection, deductions for damage or missing components, and refund timing are stated in that policy.

The 14-day return period does not replace or shorten any separate right relating to defective or nonconforming goods that applicable law gives you.

7. SAFE AND PROPER USE

You are responsible for reading and following the instructions, inspecting the product before use, installing and securing all components correctly, routing cables safely, and using appropriate calibration and sensitivity settings.

Head tracking changes how your movements control a game or application. Begin with conservative settings and become familiar with the response before normal use. Stop using the product if it becomes damaged, overheats, exposes wiring, behaves unexpectedly, interferes with other equipment, or creates an unsafe distraction.

Jaxis is a consumer input device. It is not designed, tested, certified, or authorized for:

(a) controlling a real vehicle, aircraft, weapon, industrial machine, medical device, emergency system, or other safety-critical equipment;
(b) navigation, life support, public safety, or any use in which a delay, tracking error, disconnection, software fault, or incorrect output could cause injury, death, or significant property damage; or
(c) use while driving or operating machinery.

You assume responsibility for the consequences of using the product contrary to its instructions, modifying it, connecting it to unsupported equipment, or using it for an unintended or safety-critical purpose.

8. SOFTWARE LICENSE

Jaxis software is licensed, not sold. Subject to these Terms, we grant the lawful owner or authorized user of a Jaxis product a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Jaxis software on computers that the user owns or controls, solely with Jaxis products and for their intended purposes.

You may make a reasonable backup copy for your own use. You may not:

(a) sell, sublicense, rent, lease, host, publish, distribute, or commercially exploit the software separately from an authorized transfer of the associated Jaxis product;
(b) copy the software except as expressly allowed above;
(c) remove or alter copyright, trademark, license, or ownership notices;
(d) bypass license, security, authentication, or technical-protection measures;
(e) use the software to develop or provide a competing commercial product or service; or
(f) reverse engineer, decompile, or disassemble the software, except to the limited extent that applicable law expressly permits the activity despite this restriction.

If you permanently transfer a Jaxis product to another person, you may transfer your right to use the accompanying software only if you stop using and delete your copies and the recipient agrees to these Terms.

Jaxis retains all rights not expressly granted.

9. SOFTWARE OPERATION, UPDATES, AND SUPPORT

Software may contain defects and may not operate without interruption on every system. Save important configurations when the software provides a way to do so and maintain ordinary backups of your computer.

We may release updates, bug fixes, compatibility changes, or new versions. An update may modify or remove a feature when reasonably necessary for compatibility, security, legal compliance, product improvement, or supportability. We do not promise that every feature, operating-system version, game, or third-party integration will be maintained indefinitely.

Unless a separate written support commitment says otherwise, support is provided on a reasonable-efforts basis. We do not guarantee a particular response time or a resolution for every hardware, software, or compatibility issue.

10. THIRD-PARTY SOFTWARE AND SERVICES

Jaxis may work with third-party software, games, simulators, drivers, operating systems, or services, including OpenTrack. Those products are controlled by their respective owners and may be governed by separate terms and licenses.

References to a third-party product describe interoperability or compatibility and do not imply ownership, sponsorship, endorsement, partnership, or control. Jaxis is not affiliated with or responsible for OpenTrack, game publishers, operating-system providers, Shopify, or other third-party providers merely because their products may be used with Jaxis.

We are not responsible for a third party's outage, update, discontinued feature, security issue, policy, content, or decision that changes or prevents compatibility. This section does not excuse us from responsibility for a defect in a Jaxis product to the extent imposed by law.

Open-source components, if any, remain governed by their applicable licenses. If an open-source license conflicts with these Terms as applied to that component, the open-source license controls for that component.

11. WEBSITE AND STORE USE

You may use our website and store only for lawful personal or internal business purposes. You may not:

(a) interfere with the operation or security of the Services;
(b) introduce malware or harmful code;
(c) attempt unauthorized access to accounts, systems, or data;
(d) scrape, copy, or systematically extract store content in a manner that burdens the Services or violates law;
(e) impersonate another person or submit false or misleading information;
(f) use the Services to infringe intellectual-property, privacy, or other rights;
(g) abuse, threaten, or unlawfully harass any person through the Services; or
(h) use automated systems to evade security controls, purchase limits, or access restrictions.

We may suspend or restrict access for a violation of these Terms or when reasonably necessary to protect the Services, customers, or other persons.

12. INTELLECTUAL PROPERTY

The Jaxis website, software, firmware, documentation, product designs, text, graphics, photographs, videos, logos, trademarks, and other original materials are owned by Jaxis or its licensors and are protected by applicable intellectual-property laws.

Except for the limited software license above, these Terms do not transfer ownership or grant permission to reproduce, distribute, publish, publicly display, modify, or commercially exploit our materials without prior written permission.

Third-party names and marks belong to their respective owners.

13. PRIVACY

Our collection and use of personal information are described in our Privacy Policy [INSERT LINK], which is incorporated into these Terms. Shopify and other service providers may separately process information under their own privacy notices.

Any privacy choice or consent will be handled as required by applicable law. Agreeing to these Terms does not waive a privacy right that cannot lawfully be waived.

14. FEEDBACK, REVIEWS, AND USER CONTENT

If you voluntarily submit a review, suggestion, photograph, video, testimonial, or other content to us ("User Content"), you retain ownership of your content but grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, edit for formatting or length, display, distribute, and use it to operate, improve, and promote Jaxis and the Services.

This license does not authorize us to falsely attribute statements to you or materially misrepresent your experience. You represent that you have the rights needed to submit the content and that it is accurate to the best of your knowledge, lawful, and does not violate another person's rights. You must disclose any compensation or free product received in connection with a review when required by law.

We may remove User Content from our own Services, but we are not required to publish, preserve, or respond to it.

15. THIRD-PARTY LINKS AND OPTIONAL TOOLS

Our Services may contain links, embedded content, or access to tools operated by third parties. We do not control those services and are not responsible for their content, availability, security, or practices. Your use of a third-party service is governed by that provider's terms.

16. RELATIONSHIP WITH SHOPIFY

Shopify provides the ecommerce platform that powers our store. Purchases from our store are transactions directly between you and Jaxis. Shopify is not the manufacturer or seller of Jaxis products and is not responsible for their design, manufacture, performance, delivery, support, or use.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from the manufacture, sale, delivery, or use of a Jaxis product. This provision does not release Shopify from its own independent acts or obligations where a release is prohibited by law.

17. ERRORS AND CORRECTIONS

Store information may occasionally contain typographical mistakes, inaccurate availability, or pricing, shipping, promotion, or product-description errors. We may correct an error and update information. If an error materially affects an order after payment, we may offer you the corrected order or cancel and refund the affected amount, as applicable. We will not use this section to retroactively remove a material product feature that formed part of an accepted order.

18. NO ADDITIONAL VOLUNTARY WARRANTY

Except for an express written promise clearly identified by Jaxis as a product warranty, and except for obligations stated in our Return and Refund Policy, Jaxis does not provide a separate voluntary manufacturer warranty.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SOFTWARE, SUPPORT, AND OTHER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM WARRANTIES CONCERNING UNINTERRUPTED OR ERROR-FREE OPERATION, UNIVERSAL COMPATIBILITY, RESULTS, AND FITNESS FOR AN UNDISCLOSED OR SAFETY-CRITICAL PURPOSE.

WE DO NOT DISCLAIM OR LIMIT AN IMPLIED WARRANTY, STATUTORY GUARANTEE, OR CONSUMER REMEDY WHERE DOING SO IS PROHIBITED BY LAW. IN PARTICULAR, NOTHING IN THESE TERMS IS INTENDED TO DISCLAIM IMPLIED WARRANTIES APPLICABLE TO A SALE OF CONSUMER GOODS WHEN SUCH A DISCLAIMER IS UNENFORCEABLE.

Descriptions and demonstrations are not guarantees of results under every setup. No informal statement by a support representative creates a warranty unless it is included in an express written warranty issued by Jaxis or otherwise creates a non-waivable warranty under applicable law.

19. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, JAXIS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA OR SETTINGS; BUSINESS INTERRUPTION; COST OF SUBSTITUTE EQUIPMENT OR SERVICES; OR CLAIMS ARISING FROM AN UNSUPPORTED, MODIFIED, UNINTENDED, OR SAFETY-CRITICAL USE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF JAXIS AND THE OTHER JAXIS PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO A PARTICULAR PRODUCT, ORDER, OR SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO JAXIS FOR THAT PRODUCT, ORDER, OR SERVICE.

The exclusions and cap apply regardless of the legal theory asserted, including contract, warranty, negligence, strict liability, statute, or otherwise, and apply collectively to all related events and claims.

Nothing in these Terms excludes or limits liability to the extent exclusion or limitation is prohibited by applicable law, including liability that cannot be limited for fraud, willful misconduct, gross negligence, death or personal injury, defective products, or breach of mandatory consumer rights. Some jurisdictions do not permit certain damages exclusions or liability caps, so portions of this section may not apply to you.

The price of Jaxis products reflects this allocation of risk. Each limitation is intended to apply independently and to the maximum extent permitted by law, even if a limited remedy fails of its essential purpose.

20. YOUR RESPONSIBILITY FOR THIRD-PARTY CLAIMS

To the fullest extent permitted by law, you agree to indemnify and hold harmless Jaxis and its owners, officers, employees, contractors, and agents from a third party's claim, damage, judgment, or reasonable legal expense arising from:

(a) your unlawful, fraudulent, or willful misconduct;
(b) your material breach of these Terms;
(c) your infringement of another person's intellectual-property or privacy rights through User Content you submit; or
(d) your modification, resale, or use of a Jaxis product for an expressly prohibited or safety-critical purpose.

This obligation does not apply to the extent a claim was caused by a defect in an unmodified Jaxis product, Jaxis's breach of these Terms, or Jaxis's own negligence or misconduct. We will provide reasonable notice of an indemnified claim and permit your reasonable participation in its defense. We will not agree to a settlement that admits wrongdoing by you or imposes a non-monetary obligation on you without your consent.

21. EVENTS OUTSIDE REASONABLE CONTROL

We are not liable for delay or failure caused by an event outside our reasonable control, including natural disaster, severe weather, fire, epidemic, war, civil disorder, governmental action, embargo, carrier disruption, labor disruption, utility or network failure, or supplier interruption. We will make reasonable efforts to reduce the effect of the event.

This section does not excuse payment refunds, delivery notices, or other obligations that applicable law requires despite the event.

22. TERMINATION

You may stop using the Services at any time. We may suspend or terminate access to software, support, an account, or the website if you materially violate these Terms, use the Services unlawfully, threaten security, or fail to pay amounts lawfully due.

Termination of access does not retroactively cancel a completed hardware purchase or remove rights that arose before termination. Sections that by their nature should continue—including Software License restrictions, Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and General Terms—survive termination.

23. GOVERNING LAW AND DISPUTES

Before filing a lawsuit, you and Jaxis agree to make a good-faith attempt to resolve the dispute. Send a written description of the issue and requested resolution to mufuhjames@gmail.com. The recipient will have 30 days to respond before either party files a claim, unless immediate action is reasonably necessary to prevent harm or preserve a legal right.

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law rules. Subject to the consumer-rights paragraph below, any court proceeding must be brought in a state or federal court with jurisdiction over [INSERT COUNTY], Maryland, and each party consents to that court's personal jurisdiction and venue.

You or Jaxis may bring an eligible individual claim in small-claims court. Nothing in these Terms prevents you from contacting a consumer-protection or other governmental agency.

If you are a consumer residing outside Maryland, this section does not deprive you of mandatory protections provided by the law of your usual residence or a right to bring a dispute in your local courts where applicable law grants that right.

24. CHANGES TO THESE TERMS

We may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively. If a change materially affects an ongoing paid Service, we will provide any notice required by law.

The Terms in effect when we accept an order generally govern that purchase. Continued use of software or ongoing Services after the effective date of revised Terms constitutes acceptance only to the extent permitted by law.

25. GENERAL TERMS

Entire agreement. These Terms, the applicable product listing, order confirmation, Return and Refund Policy, Privacy Policy, and any express written warranty constitute the agreement between you and Jaxis concerning the Services. If a product listing or express written warranty conflicts with these Terms, the more specific term controls for that product or warranty.

Severability. If a provision is held unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these Terms without our written consent, except that you may transfer a product and its accompanying software license as permitted in Section 8. We may assign these Terms in connection with a merger, reorganization, financing, sale of the business or relevant assets, or transfer to an affiliated entity, provided the assignment does not reduce mandatory consumer rights.

No third-party beneficiaries. Except for the Jaxis parties protected by Sections 19 and 20 and Shopify as addressed in Section 16, these Terms do not create rights for a person who is not a party to them.

Headings. Headings are for convenience and do not change the meaning of these Terms.
